VowSpace Vendor Agreement

This Vendor Agreement ("Agreement") is entered into between Tropic Endeavors, LLC ("VowSpace," "we," "us"), and the vendor ("Vendor," "you"). This Agreement governs Vendor participation on VowSpace, OurVowSpace.com, and related services.
1. Eligibility & Authority
Vendor must be at least 18 years old and legally authorized to enter binding contracts. If acting on behalf of a business, Vendor represents they have authority to bind that entity.
2. Platform Role
VowSpace is a neutral platform. We do not endorse Vendors, guarantee bookings, or act as an agent, broker, or representative.
3. Vendor Responsibilities
Vendor agrees to:
- Provide accurate, current business information
- Comply with all applicable laws and licensing requirements
- Honor commitments made to couples
- Maintain all required insurance, permits, and certifications
4. Vendor Content
Vendor retains ownership of submitted content but grants VowSpace a non-exclusive, royalty-free, worldwide license to display, host, store, reproduce, and promote Vendor content for platform operation and marketing.
5. Fees & Payments
Vendor acknowledges that fees, subscriptions, or commissions may apply. All fees are non-refundable unless explicitly stated otherwise.
6. Prohibited Conduct
Vendor may not:
- Misrepresent services or pricing
- Circumvent platform processes to avoid fees
- Solicit users off-platform to avoid fees
- Upload infringing or unlawful content
7. Suspension / Termination
VowSpace may suspend or terminate Vendor access at any time for violations, security concerns, or at our discretion. No refunds are issued upon termination unless required by law.
8. Limitation of Liability
VowSpace is not liable for lost bookings, revenue, or consequential damages. Total liability is limited to fees paid in the preceding 12 months, or $0 if none.
9. Indemnification
Vendor agrees to indemnify, defend, and hold harmless VowSpace from claims arising from Vendor services, content, or legal violations.
10. Governing Law
This Agreement is governed by Florida law, with venue in Indian River County, Florida.
